Regulations on the registration of business scope of enterprises

The regulations on the registration and management of business scope have been examined and approved by the People's Republic of China State Administration for Industry and commerce at its meeting. It is hereby promulgated and shall come into force on July 1, 2004.

Regulations on the registration of business scope of enterprises

Article 1 in order to standardize the registration and management of enterprise's business scope, standardize the business behavior of enterprises and protect the legitimate rights and interests of enterprises, these Provisions are formulated in accordance with the laws and administrative regulations governing the registration and administration of enterprises.

The second provision applies to enterprises registered in People's Republic of China.

The third business scope is the business scope of an enterprise engaged in business activities, and shall be registered by the enterprise registration authority according to law.

The business scope of an enterprise shall be registered by the enterprise registration authority in accordance with the application of investors or enterprises.

The business scope of an enterprise shall be consistent with the provisions of the articles of association or partnership agreement.

The fourth business scope is divided into permitted operation projects and general business projects.

The permitted business item refers to a project approved by the relevant departments prior to application for registration according to laws, administrative regulations and decisions of the State Council.

General business projects refer to projects that enterprises can independently apply without approval.

The fifth application for permission to operate a project shall be submitted to the examining and approving organ in accordance with the law, administrative regulations and the decision of the State Council. After approval, the applicant shall apply to the enterprise registration authority for registration on the basis of the approval documents and documents.

If the examining and approving organ has restrictions on the period of operation of the licensed business item, the registration authority shall register the term of operation, and the enterprise shall engage in business within the time limit approved by the examining and approving organ.

In applying for general business projects, the applicant shall independently choose one or more categories of operations according to the classification of the national economy and relevant regulations, and apply for registration directly to the enterprise registration authorities according to law.

The sixth enterprise registration organ shall register and approve the business items in accordance with the approval documents and certificates of the examination and approval authorities.

If the approval documents or certificates do not express or express the specifications of the permitted operation items, they shall be registered in accordance with relevant laws, administrative regulations, decisions of the State Council and the classification of the national economy.

In accordance with the articles of association, partnership agreement or application of the enterprise, the enterprise registration organ shall register general business items in the light of the classification of the national economy and the categories of the relevant provisions.

The scope of operation of the seventh enterprises should include or reflect the industry or business characteristics of the enterprise name.

Cross industry enterprises, the first business item in their business scope belongs to the industry of the enterprise.

The eighth enterprise shall change its business scope within 30 days from the date of the change or decision of the enterprise.

Those involved in a licensed project shall apply to the enterprise registration authority for registration of change within 30 days from the date of approval by the examining and approving organ.

A partnership or sole proprietorship enterprise shall change its business scope within 15 days from the date of making the change decision, applying for registration of change to the enterprise registration authority.

Ninth enterprises newly established by division or merger shall apply to the examination and approval authorities prescribed by the law, administrative regulations and the decision of the State Council before applying for registration. After approval, they shall apply for registration to the enterprise registration authority with the approval documents and certificates. If the enterprises remaining in the division or merger continue to apply for permission to operate the project, the approval authority has not yet required the re examination and approval formalities prior to the approval of the examination and approval authorities after the change of registration.

Tenth enterprises change their types and change the permitted business projects approved by the examination and approval authorities before the type. Enterprises do not need to go through the examination and approval procedures again.

If the investor of an enterprise becomes a foreign investor from a domestic investor or the investor of an enterprise from a foreign investor to a domestic investor, the enterprise registration authority shall re register its business scope in accordance with the approval documents and certificates of the examining and approving organ.

The twelfth branch (hereinafter referred to as the branch) which cannot bear civil liability (hereinafter referred to as the branch) shall not operate beyond the scope of the business of the affiliated enterprise.

Where a branch is permitted to operate a project within its business scope, it shall be reported to the examining and approving organ for approval.

If the examining and approving organ approves the business license of the branch separately, the enterprise may apply for approval of the approval documents and documents of the branch office to increase the corresponding business scope.

Article thirteenth where the business scope of an enterprise applies in the following circumstances, the enterprise registration authority shall not register:

(1) laws, administrative regulations and decisions of the State Council to prohibit enterprises from operating;

(two) it is not permitted to submit the approval documents and documents of the examination and approval authority.

(three) the registered capital is not up to the minimum registered capital of the project under the law and administrative regulations.

(four) laws, administrative regulations and State Council stipulates that enterprises in specific sectors can only engage in projects approved and enterprises apply for other projects.

(five) laws, administrative regulations, and other circumstances stipulated by the State Council.

In the event of the following circumstances, fourteenth enterprises shall stop the operation of the projects and apply to the enterprise registration authority in time for registration of alteration of business scope or cancellation of registration:

(1) after the general business items in the scope of business are adjusted to the permitted operation items due to the laws, administrative regulations and decisions of the State Council, the enterprises fail to apply for the examination and approval procedures and obtain the approval according to the relevant provisions;

(two) the permitted operation items in the scope of operation, the laws, administrative regulations, and the State Council have decided to request for re examination and approval.

(three) the permitted operation items in the scope of business, when the time limit for approval is approved by the examining and approving organ, the enterprise fails to re apply for the examination and approval procedures and be approved;

(four) the permitted business item in the business scope is cancelled by the examining and approving organ.

If fifteenth enterprises fail to approve or register, or violate the fourteenth provision of these Provisions, and engage in the management of licensed business projects, the enterprise registration authority shall investigate and deal with it in accordance with the "unlicensed business investigation and suppression measures".

If sixteenth enterprises engage in unregistered general business projects, the enterprise registration authorities shall investigate and deal with them in accordance with the law.

The seventeenth Provisions come into effect on July 1, 2004.
